1. DEFINITIONS AND INTERPRETATION
In these Terms and Conditions ("Terms"), unless the context indicates otherwise:
- "The Grind" means The Grind Fitness (Pty) Ltd, trading as "The Grind", with its principal place of business at Blueberry Shopping Centre, Eagle Canyon, Honeydew, Johannesburg.
- "Member" means the natural person who accepts these Terms and enters into a membership agreement with The Grind.
- "Membership Agreement" means the binding contract formed upon digital acceptance of these Terms through the online signup process.
- "Session" means a scheduled group training class operated by The Grind.
- "Billing Date" means the anniversary date of the Member's signup, recurring monthly.
- "Notice Period" means the 30-calendar-day period required for cancellation of membership.
- "Platform" means the website, member portal, and booking system operated by The Grind at grindfitness.co.za.
- "POPIA" means the Protection of Personal Information Act 4 of 2013, as amended.
2. FORMATION OF AGREEMENT
These Terms constitute a legally binding agreement between the Member and The Grind. The Membership Agreement is formed upon the Member's completion of the digital signup process, which requires:
- provision of accurate personal information;
- selection of a membership tier;
- explicit acceptance of these Terms and Conditions; and
- separate, explicit acknowledgement of the cancellation policy set out in Section 7.
Both consents are mandatory. The signup process cannot be completed without both. Upon acceptance, the Platform records the Member's IP address, browser user agent, timestamp, and the version of these Terms accepted. The Member warrants that they are at least 18 years of age and legally competent to enter into this agreement.
Cooling-off right (CPA s.44): Because the Membership Agreement is concluded electronically following direct marketing or an electronic transaction, Members have the right to cancel the agreement without reason or penalty within 5 business days of the date of agreement. To exercise this right, notify The Grind in writing at the contact address in Section 20. The Grind will refund any amounts paid, less a reasonable charge for goods or services already delivered before receipt of the cancellation notice.
3. MEMBERSHIP TIERS

The session limit for the 3x Per Week tier is calculated per ISO calendar week (Monday to Sunday). Unused sessions do not carry over. Membership tier pricing is subject to change with 30 days' written notice to existing Members.
Month-to-month basis (CPA s.14): All memberships are on a month-to-month basis. There is no fixed-term commitment beyond the 30-day notice period required for cancellation (see Section 7). If The Grind increases the monthly fee or materially changes the membership terms, the Member may cancel the membership within the 30-day notice period without incurring any additional penalty beyond fees accrued up to the date of cancellation.
4. BILLING AND PAYMENT
Membership fees are billed on an anniversary basis. The Member's Billing Date is the date on which signup was completed. Invoices are generated monthly on the same date. The first invoice is generated immediately upon completion of signup.
All payments are made by electronic funds transfer (EFT) using the invoice number as the payment reference. EFT is the sole accepted payment method — no cash, card, or debit orders.
Overdue payments: If an invoice remains unpaid 14 days after its due date, the invoice will be marked overdue, booking privileges will be suspended, and a reminder email will be sent. Suspension does not suspend the Membership Agreement or the obligation to pay outstanding fees.
Optional deposit: Members may elect to pay a deposit equal to one month's membership fee at signup. The deposit is held and applied to cover the Member's final month during the Notice Period. The deposit is non-refundable except as applied to the Notice Period.
5. SESSION BOOKING
Members may book sessions through the Platform up to 4 weeks in advance. Bookings and cancellations cannot be made less than 2 hours before the scheduled class start time. The 3x Per Week tier session limit is enforced by the Platform and cannot be overridden by the Member. Class capacity is 15 members per session — first-come, first-served.
6. CLASS SCHEDULE
Standard schedule: Monday to Friday at 05:00, 07:30, 16:00, 17:00, and 18:00; Saturday at 08:00; Sunday is a rest day. Each session is approximately 55 minutes. The Grind reserves the right to modify the schedule or cancel individual classes with reasonable notice.
7. CANCELLATION POLICY
Important — please read carefully.
Notice requirement: A Member wishing to cancel must provide 30 calendar days' written notice by email to the address in Section 20, or through the cancellation function on the Platform (when available).
No holds or pauses: Membership cannot be paused, frozen, or placed on hold for any reason. The membership is either active or cancelled.
Fees during Notice Period: If the Member paid a deposit at signup, it covers the Notice Period fees. If no deposit was paid, the full monthly fee remains payable during the Notice Period.
Outstanding balances: Cancellation does not extinguish any outstanding payment obligations. All overdue invoices must be settled in full regardless of cancellation.
8. REFERRAL PROGRAMME
Each Member receives a unique referral code upon signup. When a referred individual completes signup and their first invoice is marked as paid, the Referrer receives a R100 credit applied to their next invoice. Credits are non-transferable, have no cash value, and cannot be accumulated beyond the next invoice cycle. The Grind may modify or discontinue the referral programme at any time with 30 days' notice.
9. LIABILITY, INDEMNITY, AND ASSUMPTION OF RISK
The Member acknowledges that participation in CrossFit, functional training, and all physical activities offered by The Grind is entirely voluntary and undertaken at the Member's own risk. Physical exercise carries inherent risks of injury, illness, or death. The Member assumes full responsibility for any such risk.
The Member warrants that they are medically fit to participate in high-intensity physical training and is advised to consult a medical practitioner before commencing training.
The Member indemnifies and holds harmless The Grind, its directors, employees, coaches, contractors, and agents against any claim, loss, damage, expense, injury, or death arising from participation in sessions, use of equipment, or presence on the premises, except to the extent caused by The Grind's negligence (including ordinary negligence), gross negligence, or wilful misconduct.
To the maximum extent permitted by applicable law, The Grind's total aggregate liability shall not exceed the total membership fees paid by the Member in the 3 months immediately preceding the event giving rise to the claim. Nothing in these Terms limits The Grind's liability for death or personal injury caused by The Grind's negligence, fraud, or any liability that cannot lawfully be excluded or limited.
Consumer rights (CPA ss.51, 55–56): Nothing in these Terms purports to waive, limit, or negate any right or remedy conferred on a consumer by the Consumer Protection Act 68 of 2008. Fitness services are provided with reasonable care and skill. Where services are found deficient, the Member is entitled to the remedies provided by the CPA, including repair, replacement, or refund as applicable.
10. MEMBER CONDUCT
Members must conduct themselves in a respectful and safe manner at all times. Members must follow the instructions of coaches during sessions. The Grind reserves the right to refuse entry to or terminate the membership of any Member whose conduct is disruptive, dangerous, or in breach of these Terms.
11. PROTECTION OF PERSONAL INFORMATION (POPIA)
The Grind is committed to protecting personal information in accordance with POPIA. See our full Privacy Policy for details on information collected, purposes of processing, data storage, and your rights.
12–19. GENERAL PROVISIONS
These Terms are governed by South African law. The parties submit to the exclusive jurisdiction of the Gauteng Division of the High Court, Johannesburg. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. These Terms constitute the entire agreement between the Member and The Grind.
The Grind may amend these Terms at any time with 30 days' written notice delivered via email and published on the Platform. If the Member objects to a material amendment, the Member may cancel the membership in accordance with Section 7 during the notice period without incurring any penalty beyond fees accrued up to the cancellation date. Continued use of the Platform after the effective date of an amendment constitutes acceptance of the amended Terms.
